These Terms of Use (“Terms”) are a legal agreement between you and Gangwaze, Inc. (“Gangwaze,” “we,” “us,” or “our”). They govern your use of the Cruise Quest mobile application and the website at gangwaze.com (together, the “Service”).

Please read carefully. Section 16 contains a binding arbitration clause and class-action waiver that affects your legal rights. You may opt out of arbitration within 30 days of first accepting these Terms.

1. Acceptance of these Terms

By creating an account, downloading, installing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

The Service is for individuals 18 years of age or older. By using the Service, you represent that you are at least 18 and have the legal capacity to enter into a binding contract.

3. Your account

You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activity that occurs under your account; and (c) notifying us immediately at hello@gangwaze.com of any unauthorized use. You agree to provide accurate information when creating your account and to keep it current.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, or in violation of these Terms or any applicable law
  • Upload User Content that is illegal, infringing, defamatory, harassing, hateful, sexually explicit, violent, or otherwise objectionable
  • Upload User Content that depicts a minor or any other identifiable person without that person’s (or their guardian’s) consent
  • Impersonate any person or misrepresent your affiliation
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying systems
  • Reverse engineer, decompile, or disassemble any portion of the Service except to the extent applicable law expressly permits
  • Use any automated system (bot, scraper, etc.) to access the Service
  • Resell, sublicense, or commercially exploit the Service except as permitted by these Terms

5. User Content

5.1 What “User Content” means

“User Content” means any content you submit to or through the Service, including photos, captions, profile information, gameplay data, and feedback.

5.2 You retain ownership

You retain ownership of any intellectual property rights you hold in your User Content.

5.3 License you grant to Gangwaze

By submitting User Content to the Service, you grant Gangwaze a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable, and transferable license to use, host, store, copy, reproduce, modify, adapt, translate, create derivative works of (including by cropping, resizing, watermarking, and color-correcting), publish, publicly display, publicly perform, distribute, and otherwise exploit your User Content, in whole or in part, in any and all media now known or later developed, for any purpose related to operating, providing, promoting, marketing, or improving the Service, the Cruise Quest brand, gangwaze.com, and Gangwaze’s businesses, including without limitation:

  • Display within the Cruise Quest app and on gangwaze.com
  • Posting on Gangwaze’s social media accounts (including but not limited to Instagram, TikTok, Facebook, X, YouTube, and any successor platforms)
  • Use in promotional, advertising, and marketing materials
  • Use in third-party integrations and re-syndication

This license survives termination of your account and survives any modification or deletion of your User Content from the Service. We may, but are not required to, attribute User Content to your display name when we use it.

5.4 Your representations about User Content

By submitting User Content, you represent and warrant that:

  • You own the User Content or have all rights, licenses, consents, and permissions necessary to grant the license in Section 5.3
  • Your User Content does not and will not violate any applicable law, contract, or third-party right (including intellectual property rights, rights of privacy, and rights of publicity)
  • You have obtained the consent of every identifiable person depicted in your User Content (or, in the case of a minor, that person’s parent or legal guardian) to the use of their image as contemplated by these Terms
  • Your User Content does not violate Section 4 (Acceptable use)

5.5 Right to remove

We may, but are not obligated to, review, refuse, or remove any User Content at our sole discretion, with or without notice. We are not responsible for User Content uploaded by you or other users.

5.6 Feedback

If you send us feedback, suggestions, or ideas about the Service, you agree we may use them without obligation or compensation to you.

6. Our intellectual property

The Service, including all software, designs, logos, trademarks, and content provided by Gangwaze, is owned by Gangwaze or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms.

7. DMCA / copyright complaints

If you believe content on the Service infringes your copyright, send a notice to our designated agent at hello@gangwaze.com containing the information required by 17 U.S.C. § 512(c)(3). We may remove or disable access to allegedly infringing content and may terminate accounts of repeat infringers.

8. Third-party services

The Service may contain links to or integrate with third-party websites or services (including Apple App Store, Google Play, Supabase, Firebase, and PostHog). We are not responsible for those third parties or their content, and your use of them is governed by their own terms.

9. Service availability and changes

We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We do not guarantee that the Service will be available, uninterrupted, error-free, or secure. We may change pricing, features, or functionality without prior notice.

10. Termination

You may stop using the Service at any time and delete your account through the in-app Settings. We may suspend or terminate your account at any time if we believe you have violated these Terms or for any other reason at our sole discretion. Upon termination, the licenses you granted in Section 5.3 survive.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Gangwaze does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, in no event will Gangwaze, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for all claims arising out of or related to the Service will not exceed the greater of (a) US$100 or (b) the amounts you have paid to Gangwaze in the 12 months preceding the claim.

Some jurisdictions do not allow limitations on certain warranties or liabilities. To the extent such laws apply, the limitations in this section apply only to the extent permitted.

13. Indemnification

You agree to indemnify, defend, and hold harmless Gangwaze and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

14. Apple-specific terms (iOS users)

You acknowledge that these Terms are between you and Gangwaze, not Apple, and that Apple is not responsible for the Service. Apple is a third-party beneficiary of these Terms with the right to enforce them against you. The license to use the Service is limited to use on Apple-branded products. In the event of any failure of the Service to conform to applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation.

15. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 16, any dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

16. Binding arbitration and class-action waiver

16.1 Agreement to arbitrate

Any dispute arising out of or relating to these Terms or the Service shall be resolved by final, binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except that you may bring an individual claim in small-claims court if it qualifies. Arbitration will be conducted in Travis County, Texas, or remotely. The arbitrator’s decision will be final and enforceable in any court of competent jurisdiction.

16.2 Class-action waiver

You and Gangwaze each waive the right to bring or participate in any class, collective, or representative action. All claims must be brought on an individual basis.

16.3 30-day opt-out

You may opt out of this arbitration agreement by sending written notice to hello@gangwaze.com within 30 days of first accepting these Terms. Your notice must include your name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.

16.4 Exceptions

This Section 16 does not apply to: (a) claims for injunctive or other equitable relief regarding intellectual property; or (b) claims that cannot lawfully be subject to arbitration.

17. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Gangwaze regarding the Service.
  • No waiver. Our failure to enforce any provision is not a waiver of that provision.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
  • Assignment. You may not assign these Terms. We may assign them without restriction.
  • Notices. We may send notices to you by in-app message, email, or by posting on the Service. Notices to us must be sent to hello@gangwaze.com.
  • Survival. Sections 5.3, 5.4, 6, 7, 8, 11, 12, 13, 15, 16, and 17 survive termination.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the “Last updated” date and, where appropriate, by in-app notice or email. Continued use of the Service after changes take effect constitutes acceptance.
